This site (including all material and contents appearing on the site, the “Site”) is comprised of various Web pages owned and operated by WEX Health and its vendors, and is made available for your personal information and use. Your submission of information to and access and use of this Site is subject to the terms of service set forth below (the “Terms of Service”). By submitting information to and/or accessing and browsing this Site, you accept and agree to abide by, without limitation or qualification, the Terms of Service. 3. Submission of Information; Restrictions on Use

9. You Will Track Your Passwords and Accept Updates

You are responsible for securely managing your password(s) for access to the services. If you become aware of any unauthorized access to your services account, theft or loss of your password, you agree to contact WEX Health as soon as possible. The services may periodically be updated with tools, utilities, improvements, third party applications, or general updates to improve and enhance the features and performance of the services. You agree to receive these updates automatically as part of the services.

You agree to indemnify, defend and hold WEX Health (including its affiliates, vendors, licensors and of WEX Health’s and their owners, officers, directors, employees and agents) harmless from and against any and all third party claims, liabilities, costs, or expenses, including reasonable attorneys’ fees, arising out of or resulting from (a) Your breach of any provision of these Terms of Service, (b) Your acts, omissions, negligence or willful misconduct, or (c) a claim that information submitted to this Site infringes the rights, including the intellectual property or proprietary rights, of a third party.

15. General.

This Site is controlled and operated by WEX Health from its offices within the United States of America. WEX Health makes no representation that the materials on this Site are appropriate or available for use in other locations. Those who choose to access this Site from other locations do so on their own initiative and at their own risk and are responsible for compliance with local laws, if and to the extent applicable. These Terms of Service shall be governed by and construed and enforced in accordance with the laws of the State of Connecticut, without regard to conflicts of law. Any action you, any third party, or WEX Health brings to enforce these Terms of Service or in connection with any matters relating to this Site shall be brought only in either the state or federal courts located in Hartford County, Connecticut, and you expressly consent to the jurisdiction of said courts. If any provision of these Terms of Service shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Service and shall not affect the validity and enforceability of any remaining provisions. These Terms of Service constitute the entire agreement and understanding between you and WEX Health (other than any separate you may have signed with WEX Health and which other agreement will continue according to its terms) and supersede any prior or contemporaneous agreements or understandings, whether written or oral, relating to the matters contained herein. You may not assign any right or interest under these Terms; WEX Health may assign its rights and obligations. 16. Changes to Terms of Service or the Services

We may change these Terms of Service from time to time, and the changes will be effective when posted on our Site for the services or when we notify you by other means.
